Definitions

 

The “BEMI”, “we”, “us” and “our”, mean the British Emerging Manager Institute, a fully owned brand and trading name of Friedland Group Ltd, a private limited company incorporated in England and Wales, Company number 12660904, whose registered office is 16 Royal Crescent, Cheltenham, Gloucestershire, England, GL50 3DA.

 

“You” and “your” refer to the registered BEMI website user, BEMI member and/or BEMI event or clinic attendee (“delegate”). Your use of BEMI’s products, events, clinics and websites (collectively referred to herein as the “Services”) is subject to the terms of a legal agreement between you and the BEMI.

 

“Customer” refer to the purchases of any store products from the website.

 

“Use of the Software and Content” refers to accessing the learning management system via a web browser, and using the licensed Software together with accessing the Content deployed in the News and Resources area of the website.

 

Accepting the Terms and Conditions (thereafter “Terms”)

 

In order to use our Services, you must firstly agree to the Terms.

 

You can accept the terms by:

 

Clicking the relevant tickbox when applying to the Institute online, or by submitting an application by email. By consent as requested when signing up to an event or clinic.

 

The Terms will continue to apply until terminated by the BEMI.

 

Use of Services

 

In order to access certain Services, you may be required to provide information about yourself (e.g. identification or contact details) as part of the registration process for the Services, or as part of your continued use of the Services.

 

You agree that any registration information you give to the BEMI will always be accurate, correct and current.

 

Unless you have been specifically permitted to do so in a separate agreement with the BEMI, you agree that you will not: (i) reproduce, duplicate or copy, or (ii) sell, trade, resell or otherwise commercially exploit, any of the Services, or any part thereof, for any purpose.

 

Passwords and Account Security

 

You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access our Services. For the avoidance of doubt, you agree that you will not permit any other person to use your account or password to access our services.

 

You agree that you will be solely responsible to the BEMI for all activities that occur on your account.

 

By accessing our Services, you agree to abide by the terms of the Privacy Policy as provided as a link in the footer of the Homepage of the BEMI website.

 

BEMI Membership

 

Registration to our website, events or any newsletters does not automatically constitute membership to the BEMI, either as a GP or LP / Investor member, or a Service Provider Partner. Please refer to our website for details on how to become a member or partner.

 

In all cases, a BEMI membership term is for 12 months from 22 July each year.

 

Upon your application for membership to the BEMI being accepted, once you receive confirmation, if required by your membership type you may then be issues an invoice or confirmation of your partnership construct. An invoice will then be issued, and your company will be liable to pay the full amount reflected on the invoice.

 

Payment of a membership renewal invoice constitutes your acceptance of your new membership term, and is non-refundable.

 

All BEMI are required to ensure that information on the site is correct – any updates should be provided to [email protected].

 

Payment for BEMI Events and Clinics

 

Upon acceptance to the event/clinic, you will receive confirmation and a dated invoice, as applicable.

We request full payment within 7 days of the date of the invoice or prior to the event/clinic  taking place, whichever occurs sooner.

 

All events/clinics are subject to VAT at the prevailing rate.

 

The Customer has no right and shall not permit any third party to copy, adapt, reverse engineer, decompile, dissemble, modify, or make any error corrections to the Software of content in whole or in part (whether by reverse engineering, decompilation or disassembly).

 

The Customer may not use any such information provided by the BEMI to create and software or content whose expression is substantially similar to that of the Software or Content supplied under this license nor use such information in any manner, which would be restricted by any intellectual property or copyright subsisting on it.

 

Cancellations and Non-attendance by the Delegate

 

If you are unable to attend an event or clinic then your place must be cancelled in writing, ideally within 24 hours’ notice of the event or course. All applicable fees are non-refundable and we cannot accommodate transfers to alternative courses or course dates; however, there is no charge if a substitute delegate wishes to replace an original delegate from the same company.

 

Warranties and Limitation of Liability

 

None of the materials pertaining to our events and courses is intended to constitute financial, legal or other advice, should not be relied upon as such and is not a substitute for obtaining such advice. The BEMI, its employees, trainers, contractors or consultants do not accept responsibility for delegates’ actions, or those of any other people reading course notes or interpreting the clinics in litigation.

 

The BEMI does not accept responsibility for complaints arising from possible food poisoning or allergies and all such complaints should be addressed or directed to our catering companies, which can be contacted through us upon request. We will take reasonable steps to communicate any special requests/dietary requirements on behalf of the delegate if they are provided at the time of booking.

 

While the BEMI endeavours to ensure reasonable safety and security at our events and courses, it must be understood that all parties attending do so at their own risk. We will not be held responsible for injuries that may be incurred as a result of attending an event or clinic where the circumstances are outside of our control. Neither the BEMI nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the event or clinic or other aspect related thereto or in connection with the Terms. However, nothing in these terms and conditions or any other terms of the BEMI seeks to exclude liability for death or personal injury resulting from the BEMI’s negligence

 

Changes and Cancellations by the BEMI

 

You acknowledge and agree that we reserve the right to change any and all aspects of the event/clinic, including but not limited to: the event/clinic delivery format (we will offer a virtual alternative to any physical courses where necessary), name, themes, content, programme, speakers, hosts, moderators, venue and time.

 

We reserve the right to postpone an event/clinic at any time without liability. In these circumstances we will offer an alternative date or a credit note, but no compensation will be paid for any additional costs incurred.

 

We also reserve the right to cancel an event/clinic at any time without liability. In these circumstances, we will offer a credit note to be used towards any future event/clinic, but no compensation will be paid for any additional costs incurred.

 

Concessions

 

A concession or discount offered on BEMI events/clinics is exclusive; concessions or discounts cannot be combined.

 

In the case of special offers, these must be requested at the time of booking in accordance with the relevant offer terms and conditions; they will be applied automatically.

 

Late Payment

 

Late payment is defined as not having paid within 7 days of the date that appears on the invoice or after the event/clinic has occurred.

 

In the case of late payment, we reserve the right to charge interest on all outstanding payments at the rate of 2 per cent per calendar month, or part thereof if less than a calendar month, until payment is made.

 

In any case where the delegate has not paid, or for example has other outstanding payments, we reserve the right to refuse entry to our events/clinics.

 

Media

 

By attending a BEMI event or clinic, you acknowledge and agree to grant the BEMI the right at the event/clinic to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to the BEMI includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.

 

Case Studies

 

By accepting the Terms, you hereby grant to the BEMI a non-exclusive, worldwide, perpetual, irrevocable, sub-licensable and royalty-free licence to use, reproduce and otherwise exploit the copyright and other intellectual property rights subsisting in any case studies or similar materials produced or created by you, or on your behalf, and which are available in the public domain (such as on your website, but including for the avoidance of doubt where the BEMI is first required to log in to your website, portal or similar in order to view such content) for its own purposes, including but not limited to producing research reports and policy submissions and distributing them to third parties.
